Company formation in Liberia can take as little as 24 hours and begins with the company name registration at the Liberian Registry. Under Liberian law, you may register any business activity accepted under the Business Corporation Act, except for real estate ownership and trading. In exceptional cases, some businesses do not have to purchase licensing from the Liberian government.
You only need one director and one shareholder. Still, if there are more than three shareholders, then the company must have three directors, who can be of any nationality and reside overseas.
Shareholders can also be corporate entities.
All businesses need to have an in-country registered address, but you may maintain company records in any location. Shareholders may hold meetings and pass resolutions with a two-thirds majority should the company be dissolved or sold.
Non-resident businesses do not have to file accounts with the government. Once you have prepared the Memorandum and Articles of Association and filed the documents with the Liberian International Ship and Corporate Registry, appointed directors, paid government filing fees and issued share certificates issued, you have completed the registration process.
